@JazzyJosh Stole seems a bit... overreaching. There is significant changes between the original and the promo, the only similarity is the head/hands. The shirt changed, shoes, stick, helmet, pose, etc.
Overall I'd say 20-30% of the image is similar, which imo falls under fair use because they would have had to extrapolate the character.
That being said, who owns what is messy, but their promo probably falls under fair use.
It's also why you don't give quality work to companies before they've paid for the draft. Use escrow, watermarks, low quality, etc. so they can see before they buy.

The cell shading etc is exactly the same on the face.
It may be legal, but it's definitely not ethical.
If you don't like the original and don't think the artist can alter it the way you want, that's fine. Pay for it and then hire someone else.
Don't just scan the thing in and swap out parts.

@xaade Agreed - but how the comments read I suspect this is more of a 'everybody dicked around and didn't have any real paperwork or agreement in place for work done' and as usual the content creator gets dicked. But that's also what happens when you create fan art (which this essentially is, since it was put on deviant art according to twitter)

It should have at least had the OP's name on it, as well as the person who altered it.
Fair use kinda goes out the window if you don't attribute the original content.

A panther is any one of a tiger, a lion, a jaguar, a leopard, or a snow leopard. However, when the leopard or jaguar are melanistic, they are called a "black panther" because at a glance once cannot tell the specific species of cat. This has been extended to cougars/pumas as well, despite not being truly panthers or truly melanistic.

They are feline not pathera. Only large cats tend to be Panther family.

And now I think you're just insane, because none of those obnoxiously anime characters are in a frog suit or a frogman suit.
And now you've just reminded me of the Attack of the Killer Tomatos cartoon, and how the Special Forces team had a airborne guy who dragged his parachute around where ever he went, and also a frogman who constantly wore his scuba suit and flippers where ever he went. That was a pretty good gag.
